1. Acceptance of Terms

Welcome to Ownership Tag LTD ("we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you may not access or use our Service. These Terms constitute a legally binding agreement between you and Ownership Tag LTD.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Ownership Tag provides a blockchain-based platform that enables users to create, manage, and verify digital certificates of ownership for physical assets. Our Service includes:

  • Product Registration: Register physical products and create unique digital certificates (NFTs) on the Polygon blockchain
  • Ownership Verification: Verify product ownership using QR codes and PIN-protected verification
  • Ownership Transfer: Securely transfer ownership of registered products between users
  • Tamper Detection: AI-powered tamper detection to verify the authenticity of QR codes on physical products
  • Blockchain Records: Immutable records of ownership history stored on the Polygon blockchain
  • Verification Services: Professional verifier services with enhanced scanning capabilities
  • Invoice Generation: Automatic generation of invoices for all transactions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information, including your name, email address, and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Verification

After creating an account, you must verify your email address by entering a one-time verification code (OTP) sent to your email. Until your account is verified, you will not be able to use certain features of the Service.

3.3 Identity Verification

For certain services, including product registration, we may require you to provide identity verification documents, such as a passport or government-issued ID. You agree to provide accurate and authentic identification documents. Falsifying identity information may result in immediate account termination and legal action.

3.4 Account Security

  • You are solely responsible for maintaining the security of your account and password
  • You must notify us immediately of any unauthorized access or use of your account
  • You must not share your account credentials with any third party
  • You are responsible for all activities that occur under your account, whether authorized or not

3.5 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraud, or illegal activity. Upon termination, your right to use the Service will immediately cease.

4. User Roles and Responsibilities

4.1 Customer Role

Customers can register products, transfer ownership, and use basic verification services. Customers have a daily limit of 10 tamper detection checks and 10 owner verifications (QR + PIN scans).

4.2 Verifier Role

Verifiers can perform verification services for products. Standard verifiers have the same daily limits as customers (10 tamper checks and 10 owner verifications). Verifiers with a valid Pro license have enhanced daily limits of 800 tamper checks and 800 owner verifications.

4.3 Pro License

Verifiers can purchase a Pro license to access enhanced daily scanning limits. Pro licenses are subject to fees and have expiration dates. Licenses may be purchased directly through the Service or provided by administrators for enterprise clients.

5. Product Registration

5.1 Registration Requirements

To register a product, you must provide accurate and complete information, including:

  • Product name and description
  • Serial number or unique identifier
  • Date of purchase
  • Product images (multiple angles recommended)
  • Proof of purchase (invoice or receipt)
  • Any additional information requested by our team

5.2 Registration Process

After submitting a product registration, our team will manually review the information you provided. We reserve the right to approve or reject any registration at our sole discretion. Common reasons for rejection include:

  • Incomplete or inaccurate information
  • Insufficient proof of purchase
  • Suspect or fraudulent documentation
  • Products that do not meet our registration criteria
  • Violation of our policies or applicable laws

5.3 Registration Fees

Product registration is subject to a one-time fee of $99.00 (USD) per product, exclusive of any applicable taxes. Fees are charged at the time of registration submission and are processed through our third-party payment processor, Stripe. Fees are non-refundable, even if your registration is rejected.

5.4 Seller Codes

We may provide seller codes that waive registration fees. Seller codes are subject to usage limits, expiration dates, and other restrictions. Only one seller code may be used per registration. Seller codes cannot be combined with other discounts or promotions.

5.5 Digital Certificate Creation

Upon approval of your product registration, we will create a unique digital certificate (NFT) on the Polygon blockchain. This certificate is permanently linked to your product and cannot be altered or deleted. The certificate includes product information, ownership history, and a unique certificate ID.

5.6 QR Code Generation

After approval, a unique QR code will be generated for your product. This QR code should be securely affixed to your product. The QR code is essential for tamper detection and owner verification. You are responsible for protecting the QR code from damage or removal.

6. Ownership and Transfers

6.1 Ownership Rights

Registration of a product on our Service does not confer legal ownership of the physical product. Our Service provides a digital certificate of ownership that serves as a record and verification tool. Legal ownership of the physical product is determined by applicable law and separate agreements between parties.

6.2 Ownership Transfer Process

To transfer ownership of a registered product, the current owner must initiate a transfer through the Service by providing the new owner's email address. The new owner will receive a notification and must accept the transfer. The transfer is not complete until the new owner accepts and payment is processed (if applicable).

6.3 Transfer Fees

Ownership transfers are subject to a fee of $49.00 (USD) per transfer, exclusive of any applicable taxes. The fee is charged to the new owner at the time of transfer acceptance. Transfer fees are processed through Stripe and are non-refundable.

6.4 Transfer Codes

We may provide transfer codes that waive transfer fees. Transfer codes are subject to usage limits, expiration dates, and other restrictions. Only one transfer code may be used per transfer.

6.5 Blockchain Recording

All ownership transfers are recorded on the Polygon blockchain as immutable transactions. Once recorded, transfers cannot be reversed or undone. The blockchain transaction hash is stored in our system and linked to the ownership history of the product.

6.6 Transfer Completion

Upon successful transfer, the new owner becomes the registered owner of the product in our system. The previous owner's access to the product will be limited to viewing historical records. The new owner receives full control over the product registration and can initiate future transfers.

7. Verification Services

7.1 Tamper Detection

Our AI-powered tamper detection service analyzes QR code images to detect signs of tampering, alteration, or forgery. This service uses Google Gemini AI to provide an assessment of whether a QR code appears authentic or has been tampered with.

  • Tamper detection is an advisory service and does not guarantee 100% accuracy
  • Results are based on AI analysis and should be used as one factor in authentication decisions
  • Daily limits apply based on user role (Customer: 10, Verifier Pro: 800, Admin: Unlimited)
  • We are not liable for decisions made based on tamper detection results

7.2 Owner Verification (QR + PIN)

Owner verification allows users to verify product ownership by scanning a QR code and entering the owner's secret PIN. This service provides access to owner information, including name, address, and passport/ID documents.

  • Owner verification requires the product owner's 6-digit PIN
  • PINs are hashed and stored securely, but plain-text PINs may be displayed to owners for convenience
  • Daily limits apply based on user role (Customer: 10, Verifier Pro: 800, Admin: Unlimited)
  • All verification attempts are logged for security and audit purposes

7.3 PIN Security

Product owners are responsible for maintaining the confidentiality of their PIN. PINs should not be shared publicly or with untrusted parties. If a PIN is compromised, owners should update it immediately through their account settings.

8. Fees and Payments

8.1 Service Fees

The following fees apply to our services:

  • Product Registration: $99.00 (USD) per product, one-time fee
  • Ownership Transfer: $49.00 (USD) per transfer
  • Pro License: $999.00 (USD) per license (pricing subject to change)

All fees are exclusive of applicable taxes. Tax rates and applicability are determined based on your location and applicable tax laws.

8.2 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By providing a payment method, you authorize us to charge the applicable fees. You agree to provide accurate and complete payment information.

8.3 Payment Methods

We accept major credit and debit cards through Stripe. You may save payment methods for future use. Saved payment methods are stored securely by Stripe and are subject to Stripe's privacy policy and terms of service.

8.4 Refunds

All fees are non-refundable, except as required by applicable law. Refunds may be considered on a case-by-case basis for service failures or errors on our part. Requests for refunds must be submitted within 30 days of the transaction date.

8.5 Invoices

Invoices are automatically generated for all transactions, including $0 transactions where seller codes or transfer codes are applied. Invoices are available for download in PDF format through your account dashboard.

8.6 Fee Changes

We reserve the right to modify fees at any time. Fee changes will be communicated through our Service and will apply to new transactions. Existing transactions are not affected by fee changes.

9. Blockchain and Digital Certificates

9.1 Polygon Blockchain

Our Service uses the Polygon blockchain to record ownership and transaction history. The Polygon blockchain is a decentralized, public ledger that provides immutability and transparency.

9.2 NFT Certificates

Each registered product receives a unique digital certificate (NFT) on the Polygon blockchain. This certificate:

  • Is permanently recorded on the blockchain and cannot be altered or deleted
  • Contains product information and ownership history
  • Has a unique certificate ID and token ID
  • Can be added to cryptocurrency wallets that support ERC-721 tokens
  • Is publicly visible on the blockchain, though personal information is not included

9.3 Blockchain Transactions

All blockchain transactions, including NFT minting and ownership transfers, are final and irreversible once confirmed on the blockchain. We are not responsible for blockchain network delays, failures, or congestion that may affect transaction processing.

9.4 Wallet Integration

Users can add their NFT certificates to external cryptocurrency wallets (e.g., MetaMask) using the EIP-6963 standard. You are solely responsible for the security of your wallet and any losses resulting from wallet compromise or user error.

9.5 Public Records

Information stored on the blockchain, including wallet addresses, transaction hashes, and certificate IDs, is publicly accessible and cannot be deleted or modified. By using our Service, you acknowledge and accept that this information will be permanently visible on the blockchain.

9.6 Gas Fees

Blockchain transactions require payment of gas fees to the Polygon network. Gas fees are included in our service fees and are not charged separately to users.

10. Intellectual Property

10.1 Service Ownership

The Service, including all content, features, functionality, and technology, is owned by Ownership Tag LTD and is protected by copyright, trademark, and other intellectual property laws.

10.2 User Content

You retain ownership of any content you submit to the Service, including product images, descriptions, and documentation. By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display your content solely for the purpose of providing the Service.

10.3 Digital Certificates

Digital certificates (NFTs) created through our Service are owned by the registered product owner. However, the underlying technology, smart contracts, and Service infrastructure remain our property.

10.4 Trademarks

"Ownership Tag" and our logos are trademarks of Ownership Tag LTD. You may not use our trademarks without our prior written consent.

11. User Conduct and Prohibited Activities

11.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Submit false, misleading, or fraudulent information
  • Register products you do not own or have no right to register
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without authorization
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users
  • Upload malicious code, viruses, or harmful software
  • Use the Service for any illegal or unauthorized purpose

11.2 Fraud and Misrepresentation

Falsifying product information, identity documents, or ownership claims may result in immediate account termination, legal action, and reporting to relevant authorities. We reserve the right to investigate and take appropriate action against fraudulent activity.

11.3 Prohibited Products

You may not register products that are illegal, stolen, counterfeit, or violate third-party rights. We reserve the right to reject or remove any product registration that violates these restrictions.

12. License Keys and Subscriptions

12.1 Pro License

Verifiers can purchase Pro licenses to access enhanced daily scanning limits (800 tamper checks and 800 owner verifications per day). Pro licenses are subject to fees and have expiration dates.

12.2 License Activation

Pro licenses must be activated through your account. Once activated, enhanced limits are immediately available. Licenses are non-transferable and are tied to your account.

12.3 License Expiration

Pro licenses expire on the date specified at the time of purchase. Upon expiration, your account will revert to standard verifier limits (10 checks per day). You may renew your license before or after expiration.

12.4 License Refunds

Pro license fees are non-refundable, except as required by applicable law. Refunds may be considered for service failures or errors on our part.

13. Seller Codes and Promotions

13.1 Seller Codes

We may provide seller codes that waive registration or transfer fees. Seller codes are subject to:

  • Usage limits (maximum number of uses)
  • Expiration dates
  • Restrictions on code types (registration or transfer)
  • Single-use or multi-use limitations

13.2 Code Usage

Seller codes must be entered at the time of registration or transfer. Codes cannot be applied retroactively. Only one code may be used per transaction. Codes cannot be combined with other discounts or promotions.

13.3 Code Validity

We reserve the right to invalidate, modify, or revoke seller codes at any time. Invalid or expired codes will not be accepted. We are not responsible for codes lost, stolen, or used without authorization.

14. Job Applications

14.1 Application Process

We may post job openings on our Service. Job applications are submitted through our application form and require your name, email address, cover letter, and CV/resume.

14.2 Application Information

By submitting a job application, you consent to our use of your application information for recruitment purposes. We will retain your application information for up to 1 year or as required by applicable employment laws.

14.3 No Guarantee of Employment

Submission of a job application does not guarantee employment. We reserve the right to reject any application for any reason, with or without notice.

15. Disclaimers and Limitations of Liability

15.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.2 AI Tamper Detection

Our AI tamper detection service provides an advisory assessment and is not a guarantee against all forms of tampering. Results are based on AI analysis and may not be 100% accurate. We are not liable for decisions made based on tamper detection results.

15.3 Blockchain Risks

Blockchain technology involves inherent risks, including but not limited to:

  • Network congestion and delays
  • Transaction failures or reversals
  • Smart contract bugs or vulnerabilities
  • Regulatory changes affecting blockchain technology
  • Loss of access to blockchain records

We are not liable for losses resulting from blockchain-related risks.

15.4 Third-Party Services

Our Service relies on third-party services, including Stripe (payments), Resend (emails), Google Gemini AI (tamper detection), and Polygon (blockchain). We are not responsible for the availability, performance, or actions of these third-party services.

15.5 Limitation of Liability

To the maximum extent permitted by law, Ownership Tag LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

15.6 Maximum Liability

Our total liability to you for any claims arising out of or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

16. Indemnification

You agree to indemnify, defend, and hold harmless Ownership Tag LTD, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your submission of false, misleading, or fraudulent information
  • Your registration of products you do not own or have no right to register

17. Termination

17.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your access to the Service will immediately cease.

17.2 Termination by Us

We may terminate or suspend your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraud, or illegal activity.

17.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • Your account and access will be disabled
  • Blockchain records cannot be deleted and will remain publicly visible
  • We may retain certain information as required by law or for legal purposes
  • You remain responsible for any fees or charges incurred before termination

18. Modifications to Terms and Service

We reserve the right to modify these Terms or the Service at any time, with or without notice. Material changes will be communicated through our Service or by email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

We are not obligated to provide notice of minor changes. It is your responsibility to review these Terms periodically to stay informed of updates.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England & Wales, without regard to its conflict of law provisions. Ownership Tag LTD is registered in England & Wales with company number 16624945. If you are located outside of this jurisdiction, local laws may apply to certain aspects of these Terms.

19.2 Dispute Resolution

Any disputes arising out of or related to these Terms or the Service shall first be addressed through good faith negotiations. If negotiations are unsuccessful, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules. Arbitration shall be conducted in England & Wales, where Ownership Tag LTD is registered. You waive your right to a jury trial and to participate in class action lawsuits, except where prohibited by law.

19.3 Exceptions

Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or prevent unauthorized use of the Service.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ownership Tag LTD regarding the Service and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without your consent.

20.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor strikes, or internet outages.
